User Agreement for NeuroPrep LLC Services

The purpose of this user agreement is to delineate the bounds of the agreement between you (the user) and NeuroPrep LLC (the company) as entered into while you are making a payment for subscription for our services. If you do not agree to the clauses below, please do not proceed to use or access our services. Once you make a payment, it is assumed that you have read through and have accepted the terms and conditions as set here forth.
We may alter the terms of this contract at any time by posting the updated terms on our site. The latest date of update will be visible as shown above and it would be your responsibility as the user to review the updates as and when you log in to use our services. A latest copy of the user agreement can be requested at any time by emailing us at admin@neuroprep.com

Description of terms used  

  • The terms ‘you’, ‘your’ and the ‘user’ describes the person or entity that has paid the subscription amount. 
  • ‘We’, ‘our’ and ‘NeuroPrep LLC’ refers to the ‘NeuroPrep LLC’ as the company. 
  • Terms and conditions: All the material in this document is collectively referred to as our ‘Terms and Conditions’.  
  • Contract: Implies that you have accepted the terms and conditions and paid the subscription amount.  
  • ‘The website’ refers to www.neuroprep.com and all the licensed material (content, software and policy documents) within it.  
  • License: On accepting the terms and conditions, you will be granted a ‘license’ to use the materials (licensed materials) in the website. A license indicates your unrestricted permission, for the allowed period, to use the licensed material for the stipulated contract period. You can access the licensed material from different computers at different times. You are not allowed to access the licensed material from different computers at the same time. The license is not transferable.  

System recommendations
The following are the system requirements recommended to access the licensed material. Use of non-recommended software may result in malfunctioning of the content material. Please note that the consequences of malfunctioning are guided by the disclaimer section below.

Software recommendations  

  • Operating system. Windows ME, NT, 2000, XP or Vista, Mac OS X 10.4.1 or higher
  • Java runtime Environment (JRE) 1.5 or higher for windows 
  • Browser: Internet explorer 6.0 or higher 

Hardware recommendations  

  • Processor: Pentium III or equivalent or higher  
  • RAM: 128 MB  
  • Internet connection: high speed internet preferred

 The licensed software has been tested in a variety of computer configurations. However, due to the wide variety available, it is impossible to test on every configuration options. We do not guarantee the consistent operation on every available option. 

Subscription schemes 
Various subscription schemes are available in the website. Acceptance of contract for the various schemes limits your license to the period of time and the nature of content stipulated for that particular subscription option. It is a breach of contract to access unsubscribed content or to use it over the stipulated time period. At the end of the subscription period, your account will close and all the personalized information (including, but not limited to, username, password, registration data, personalized notes and previous test scores) will be permanently lost. If there is clear early communication with subsequent confirmation requesting continuation of the account, this information will be preserved and would be available for continued use. If the subscriber requests resetting of the personalized data, specific instructions should be communicated in advance to NeuroPrep LLC via email (admin@neuroprep.com)  

Refunds
Once you have entered the contract, refunds will not be normally granted. It remains in the discretion of NeuroPrep LLC to allow refunds in extra-ordinary circumstances and will be decided on an individual basis.  

Member account
Once you have accepted these Terms and Conditions, you will be completing the registration form. The username and password selected in the registration form would be your responsibility to secure. Unauthorized use of username/ password by third parties constitutes a breach of contract. The accuracy of information entered in the registration form is also the responsibility of the user. It is your responsibility to complete your registration accurately, in order to receive notification of NeuroPrep LLC updates, editorial and technical support.

Licensed material
All the material in the website including the content, data, policy documents, software and test-taking algorithms are the property of NeuroPrep LLC only. Unauthorized use or reproduction, copying, resale, sublicensing, modifying or reverse engineering of this software is unlawful and would be legally pursued. You may not use any device, software or routine to cause improper functioning of the website. The licensed software can be accessed only after logging in as a registered user. 

Violations of Contract  
NeuroPrep LLC reserves the right to monitor user accounts for multiple logins and to legally challenge and penalize such use. In addition, breach of contract due to any reason would be grounds for early termination of this contract without refund. We also retain the right to sue and utilize other remedies available under law on grounds of breach of contract under such circumstances.  

Printing and copying 
When you are logged in as a user, printing and copying will be disabled. This is due to disabling of the clipboard and could disable copy and paste functions in other programs running at the same time. Please log out of NeuroPrep LLC to re-enable copy/ paste functionality. 

User data 
The user generated data, which includes, but may not be limited to, user generated notes, scores , passwords and registration form information is available only for the stipulated period of subscription and would expire at the end of the subscription period. Loss of such data due to software or hardware related issues or other reasons are not the liability of NeuroPrep LLC.  

Support files
Support files such as imaging (CT scan and MRI) and EEGs are part of the content of NeuroPrep LLC questions. NeuroPrep LLC relies on its authors and image contributors to provide original work or work from sources that grant the authors and NeuroPrep LLC their approval for use.  

Logos 
All logos and other site-specific content are the property of NeuroPrep LLC. Users are prohibited from reproduction of the same without prior authorization by NeuroPrep LLC. 

Disclaimer

  1. The information available in the website is available 'as is' and without warranty of any kind. No claims are made of accuracy of data, merchantability or fitness for a particular purpose. The contributors to this site disclaim responsibility for any errors or omissions or for results obtained from the use of information contained herein. NeuroPrep LLC shall not be held liable for any direct, consequential or incidental damages as a result of using its software. 
  2. The content of questions and explanations contained in NeuroPrep LLC is decided by those who prepared them. NeuroPrep LLC takes no liability for the accuracy or completeness of this material. Though we have taken extreme care to avoid mistakes, human error is possible. We would encourage you to point out any mistakes you might come across for the benefit of our future viewers. You can use the feedback forms on the site for this.  
  3. The editors and authors of NeuroPrep LLC have made every effort to provide information that is accurate and complete as of the date of publication.   5. If for whatever reason, the contents or other services become unavailable due to withdrawal or other malfunctioning of the website, no redress against NeuroPrep LLC will be available other than refund for the time remaining on the subscription on a pro-rata basis.  
  6. If the unavailability of services is due to the user not meeting the software/ hardware requirements contained in this document, such refund could be denied.  
  7. NeuroPrep LLC will use reasonable efforts to keep its site online at all times.  The user understands however that scheduled maintenance and problems out of the control of NeuroPrep LLC can cause the site to go down without previous notice. NeuroPrep LLC would not be held liable to resultant damages other than for refund on a pro-rata basis for the remaining subscription period.

Limitation of liability 
NeuroPrep LLC specifically disclaims any liability (contract, tort, strict liability or otherwise) for any incidental, indirect, special or consequential damages arising out of or in any way connected with the use of our services, even if NeuroPrep LLC has been advised of the possibility of such damages including liability associated with any medical malpractice or hardware/ software related damage or malware arising from the use of our services.  NeuroPrep LLC’s maximum liability arising out of or in connection with your use of its services and site, regardless of the cause of action will not exceed your subscription fee. 

User information confidentiality and Privacy Policy
The user information transmitted to us by the registration form would remain the property of NeuroPrep LLC and would not be shared with third parties, unless with prior consent or as may be required by law.

Conclusion
This terms and agreement document constitutes the entire contract between the user and NeuroPrep LLC and supersedes all previous representations, oral or written. This agreement is governed by the laws of the Commonwealth of Pennsylvania, USA, without respect to its conflict of laws principle. Jurisdiction for any claims arising out of this agreement shall exclusively lie with the federal or state courts within Pennsylvania, USA.
